These Terms & Conditions govern the purchase and use of advertising, promotional and marketing services provided by Fabspot UK Limited ("Fabspot", "we", "our" or "us"). By purchasing any service from Fabspot, you agree to be bound by these Terms & Conditions.

Fabspot is a marketing and promotional platform that enables businesses to promote offers, discounts, events, products and services to members through digital wallet cards, push notifications, email marketing, featured placements and other promotional channels.

Fabspot provides advertising exposure only and does not guarantee business performance or campaign outcomes.

Fabspot may provide services including but not limited to:

• Push notification campaigns

• Digital wallet notifications

• Featured business placements

• Sponsored content

• Email marketing campaigns

• Regional promotions

• National promotions

• Promotional listings

• Digital advertising opportunities

All services are subject to availability.

Fabspot reserves the right to reject, amend, suspend or remove any advertisement, campaign, promotion, content or offer for any reason.

This includes but is not limited to content that is:

• Misleading

• Offensive

• Inaccurate

• Illegal

• Harmful to consumers

• Damaging to the Fabspot brand

Campaign approval remains entirely at Fabspot's discretion.

Businesses are solely responsible for:

• The accuracy of all promotional content

• Pricing information

• Offer fulfilment

• Customer service

• Stock availability

• Booking availability

• Product quality

• Service delivery

• Refund obligations

• Compliance with applicable laws

Businesses agree to honour any offer promoted through Fabspot unless otherwise clearly stated within the campaign.

Fabspot will make reasonable efforts to deliver campaigns and notifications to its audience.

However, delivery cannot be guaranteed.

Notification visibility may be affected by:

• Device settings

• Operating system restrictions

• Internet connectivity

• User preferences

• Wallet settings

• Third-party systems

Fabspot accepts no liability for reduced delivery rates caused by circumstances outside its control.

Fabspot provides advertising and promotional exposure only.

Fabspot does not guarantee:

• Leads

• Enquiries

• Website traffic

• Sales

• Revenue

• Bookings

• Customer visits

• Return on investment

• Campaign performance

• Conversion rates

• Customer engagement

All marketing and advertising results will vary depending on numerous factors outside Fabspot's control.

Any statistics, estimates, audience figures or performance examples provided by Fabspot are illustrative only and should not be interpreted as guarantees.

Payment must be made in full before any campaign is scheduled unless otherwise agreed in writing.

Fabspot reserves the right to suspend, delay or cancel campaigns where payment has not been received.

All prices are exclusive of VAT unless otherwise stated.

Payments made through Fabspot are securely processed by Stripe.

Fabspot does not store, process or retain full payment card information.

By making a payment, you also agree to any applicable Stripe terms and policies.

Due to the nature of digital advertising and promotional services, all sales are final.

Once a campaign has been:

• Scheduled

• Prepared

• Published

• Delivered

• Sent

• Processed

No refunds will be issued.

Fabspot is under no obligation to provide refunds where a business is dissatisfied with campaign performance.

Failure to achieve expected results does not constitute grounds for a refund.

Campaigns may only be cancelled prior to scheduling and solely at Fabspot's discretion.

Where work has already commenced, Fabspot reserves the right to retain all monies paid.

Businesses confirm they have the legal right to use all content supplied to Fabspot including:

• Logos

• Images

• Graphics

• Trademarks

• Promotional material

The business indemnifies Fabspot against any intellectual property claims arising from supplied content.

Fabspot processes business information in accordance with applicable UK data protection legislation.

Business information may be stored for operational, accounting, compliance and service delivery purposes.

Fabspot will take reasonable measures to protect data but cannot guarantee absolute security.

To the fullest extent permitted by law, Fabspot UK Limited shall not be liable for:

• Loss of profits

• Loss of revenue

• Loss of business

• Loss of goodwill

• Loss of opportunity

• Indirect losses

• Consequential losses

• Data loss

• Marketing underperformance

Fabspot's total liability under any claim shall be limited to the amount paid by the business for the specific campaign giving rise to the claim.

Fabspot shall not be liable for delays or failures resulting from events beyond its reasonable control including:

• Internet outages

• Technical failures

• Platform interruptions

• Government actions

• Natural disasters

• Third-party service failures

• Cyber incidents

Fabspot reserves the right to suspend or terminate services immediately where:

• These Terms are breached

• Fraud is suspected

• Abuse occurs

• Payment obligations are not met

• A business acts in a manner likely to damage the reputation of Fabspot

Fabspot may amend pricing, services, features, audience targeting methods, notification methods and platform functionality at any time.

Continued use of Fabspot services constitutes acceptance of any updates.

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
